These Terms & Conditions ("Terms") govern your access to and use of the Genesis Dashboard website and analytics platform (collectively, the "Services") provided by Genesis Dashboard ("Genesis," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Use of Services

Subject to these Terms, Genesis grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You may not:

• Copy, modify, or create derivative works of the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Rent, lease, sublicense, or resell access to the Services
• Use the Services to build a competing product
• Remove or alter any proprietary notices or labels
• Use the Services in violation of any applicable law or regulation

2. Accounts and Registration

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@genanalytics.io of any unauthorized use.

3. Fees and Payment

Paid plans are billed in advance on a monthly or annual basis as selected. All fees are stated in U.S. Dollars and are non-refundable except as expressly stated herein or required by law. You are responsible for applicable taxes.

If payment fails, we may suspend or terminate access to paid features until payment is resolved.

4. Customer Data

You retain all rights, title, and interest in data you upload, connect, or transmit to the Services ("Customer Data"). You grant Genesis a limited license to process Customer Data solely to provide the Services, comply with our agreement, and meet legal requirements. We do not own Customer Data and will not use it for purposes other than providing the Services to you.

You are responsible for ensuring you have all necessary rights and consents to transmit Customer Data to the Services, and that such data does not violate any law or third-party rights.

5. Intellectual Property

The Services, including all software, technology, content, and trademarks, are owned by Genesis or its licensors and are protected by intellectual property laws. No rights are granted to you except as expressly set forth in these Terms.

We may use aggregated, de-identified, and anonymized data derived from usage of the Services to improve our products, develop new features, and for analytical purposes. Such data will not identify you or your customers.

6. Acceptable Use

You agree not to use the Services to:

• Violate any law or regulation
• Infringe the rights of any third party
• Transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Collect or store personal data about other users without consent

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENESIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENESIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Genesis and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.

10. Term and Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access at any time for violation of these Terms or as required by law. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services ceases, and we may delete Customer Data in accordance with our Privacy Policy and applicable agreements.

11. Modifications to the Services or Terms

We may modify the Services or these Terms at any time. Material changes to the Terms will be communicated by posting the updated version on this page with a new effective date. Continued use of the Services after changes constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Tulsa Country, Oklahoma.

13. General

These Terms constitute the entire agreement between you and Genesis regarding the Services and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right does not constitute a waiver.
